Terms & Conditions

Please read these Terms & Conditions carefully before using our website or engaging our services. By accessing teutsch.in or entering into a service agreement with us, you agree to be bound by these terms.

1. Definitions

In these Terms & Conditions, the following definitions apply:

  • "Company", "We", "Us", "Our" — refers to Teutsch IT Hub LLP (LLP Identification Number: AAY-6657).
  • "Client", "You", "Your" — refers to any individual or organisation accessing our website or engaging our services.
  • "Website" — refers to teutsch.in and all its pages and subdomains.
  • "Services" — refers to all IT services offered by Teutsch IT Hub LLP including web development, app development, cloud services, digital marketing, graphic design, IT consulting, networking, CCTV, and IoT solutions.
  • "Project Agreement" — refers to the formal written agreement signed between the Company and the Client prior to commencement of any service engagement.
  • "Deliverables" — refers to any work product, software, design, or output produced by the Company for the Client under a Project Agreement.

2. Use of website

By accessing and using this website, you confirm that you are at least 18 years of age and agree to comply with these Terms & Conditions and all applicable laws.

You agree not to:

  • Use the website for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorised access to any part of the website or its infrastructure
  • Transmit any harmful, offensive, or disruptive content through forms or communications
  • Copy, reproduce, or redistribute any content from the website without prior written permission
  • Use automated tools, bots, or scrapers to extract data from the website

We reserve the right to suspend or terminate access to the website for any user who violates these terms, without notice.

The website is provided on an "as is" basis. While we strive to keep information accurate and up to date, we make no warranties regarding the completeness, accuracy, or availability of the website at any given time.

3. Services & project agreements

All service engagements between the Company and the Client are governed by a formal Project Agreement signed by both parties prior to commencement of work. The Project Agreement shall define the scope of work, deliverables, timeline, payment schedule, and any specific terms applicable to that engagement.

Submitting an enquiry or booking an appointment via our website does not constitute a binding agreement. A binding engagement begins only upon execution of a signed Project Agreement and receipt of the agreed advance payment.

The following general terms apply to all service engagements:

  • The Client is responsible for providing accurate and complete information required for the project in a timely manner.
  • Delays caused by the Client's failure to provide required materials, approvals, or feedback may result in revised timelines at the Company's discretion.
  • Any changes to the agreed scope of work requested by the Client after commencement may result in additional charges and revised timelines, subject to mutual written agreement.
  • The Company reserves the right to subcontract any part of the services to qualified third parties while retaining full responsibility for the quality of deliverables.
  • Final deliverables will be handed over only after full payment has been received unless otherwise agreed in writing.

4. Payment & refund policy

Payment terms:

  • All payments are to be made in Indian Rupees (INR) unless otherwise agreed in writing.
  • We accept payment via bank transfer (NEFT/RTGS/IMPS) and UPI. We do not accept cash payments.
  • A non-refundable advance payment is required before work commences. The amount will be specified in the Project Agreement.
  • Subsequent payments are tied to project milestones as defined in the Project Agreement.
  • Invoices are due within the timeframe specified in the Project Agreement. Late payments may result in suspension of work.

Refund policy:

  • The advance payment is non-refundable once work has commenced, as it covers initial planning, resource allocation, and setup costs.
  • Milestone payments already made for completed and approved work are non-refundable.
  • If the Company fails to deliver the agreed scope of work within the agreed timeline (excluding delays caused by the Client), a partial refund may be considered at the Company's discretion.
  • Refund requests must be submitted in writing to info@teutsch.in within 7 days of the disputed milestone or event.
  • Any approved refund will be processed within 14 business days via the original payment method.

5. Intellectual property

Company's intellectual property:

All content on this website — including but not limited to text, graphics, logos, icons, images, and software — is the property of Teutsch IT Hub LLP and is protected under applicable intellectual property laws. No part of this website may be reproduced, distributed, or used without our prior written permission.

Client deliverables:

Upon receipt of full payment for a project, ownership of the final deliverables (such as custom-developed software, designs, or content) transfers to the Client, unless otherwise specified in the Project Agreement.

The following exceptions apply:

  • Third-party components, libraries, frameworks, or tools used in the deliverables remain subject to their respective licences.
  • Proprietary tools, templates, methodologies, or internal frameworks developed by the Company remain the exclusive property of the Company, even if used in the Client's project.
  • The Company retains the right to display the completed project in its portfolio unless the Client requests otherwise in writing.

Client-provided materials:

The Client warrants that any content, images, data, or materials provided to the Company for use in the project do not infringe any third-party intellectual property rights. The Client indemnifies the Company against any claims arising from such materials.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project engagement. This includes but is not limited to business plans, technical specifications, financial data, and client databases.

Confidentiality obligations do not apply to information that is already publicly available, independently developed by either party, or required to be disclosed by law or court order.

Confidentiality obligations survive the termination of any project engagement for a period of two (2) years.

7. Limitation of liability

To the maximum extent permitted by applicable law, Teutsch IT Hub LLP shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of our website or services, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Business interruption
  • Damage to reputation or goodwill
  • Failure of third-party services, tools, or platforms

Our total aggregate liability to the Client under or in connection with any project engagement shall not exceed the total amount paid by the Client to the Company for that specific engagement.

Nothing in these Terms & Conditions limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless Teutsch IT Hub LLP, its partners, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with:

  • The Client's use of the website or services in violation of these terms
  • The Client's breach of any representation, warranty, or obligation under a Project Agreement
  • Any content or materials provided by the Client that infringe third-party rights
  • Any unlawful or negligent act or omission by the Client

9. Termination

Either party may terminate a project engagement by providing written notice to the other party. The specific notice period and conditions for termination will be defined in the Project Agreement.

In the event of termination:

  • The Client shall pay for all work completed up to the date of termination.
  • The Company shall deliver all completed work and materials to the Client upon receipt of payment for work done.
  • The advance payment and any milestone payments for completed work are non-refundable.
  • Neither party shall be liable to the other for damages arising solely from a lawful termination.

The Company reserves the right to immediately terminate any engagement in the event of non-payment, material breach of the Project Agreement, or unlawful conduct by the Client.

10. Governing law & jurisdiction

These Terms & Conditions and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, specifically the laws applicable in the State of Kerala.

Any dispute, controversy, or claim arising out of or relating to these terms or any project engagement shall first be attempted to be resolved amicably through good-faith negotiation between the parties.

If a dispute cannot be resolved amicably within 30 days of written notice, it shall be subject to the exclusive jurisdiction of the courts located in Manjeri, Malappuram Dist., Kerala, India.

11. Changes to these terms

We reserve the right to update or modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to this page, with the "Last Updated" date revised accordingly.

It is your responsibility to review these terms periodically. Continued use of our website or services after any changes constitutes your acceptance of the revised terms.

For active project engagements, the terms in force at the time of the signed Project Agreement shall apply unless both parties agree in writing to adopt revised terms.
